Terms of Service
1. Definitions
"Orizon" or "we" refers to Orizon Global Solutions, a company based in San José, Costa Rica. "Client" or "you" refers to any individual or legal entity that accesses this website or engages our services. "Services" includes software development, web design, SEO, website maintenance, and any other technology service offered by Orizon.
2. Acceptance of Terms
Accessing or using this website constitutes full and unconditional acceptance of these Terms. If you disagree with any provision, please leave the site. Submitting the contact form to request a quote also constitutes acceptance of these Terms.
3. Services and Quotes
Quotes sent by Orizon via WhatsApp or any other channel are non-binding estimates subject to written confirmation. No quote creates a contractual obligation until both parties sign a specific service agreement or contract.
Orizon reserves the right to decline service requests at its sole discretion, without obligation to provide justification.
4. Payments and Invoicing
Payment terms, including amounts, deadlines, and payment methods, are established in each project's specific contract. In the absence of a written agreement, Costa Rican commercial customs under the Commercial Code shall apply.
Orizon will issue electronic receipts in accordance with Costa Rica's Ministry of Finance regulations where applicable.
5. Intellectual Property
All source code, designs, graphics, and proprietary content developed by Orizon remain Orizon's property until full payment is received, at which point they are transferred to the Client under the terms agreed in writing.
The Client warrants that all content, images, text, and trademarks provided are legitimately owned or licensed by the Client, releasing Orizon from any third-party claims arising from such content.
Orizon reserves the right to reference the Client as a case study in its portfolio and marketing materials, unless otherwise agreed in writing.
6. Disclaimer of Warranties
Orizon provides its services "as is" and "as available". Unless expressly agreed in writing, Orizon does not guarantee:
- Specific rankings on search engines (SEO), which depend on multiple external factors beyond Orizon's control, including Google's algorithms and market competition.
- Increases in sales, web traffic, conversion rates, or any other business results derived from use of the products or services.
- Uninterrupted website availability, unless a Service Level Agreement (SLA) is expressly contracted in writing.
- Compatibility with all devices, browsers, or third-party software versions not expressly listed in the project scope.
7. Limitation of Liability
Under no circumstances shall Orizon, its partners, employees, contractors, or suppliers be liable for:
- Indirect, incidental, special, punitive, or consequential damages.
- Loss of profits, data loss, loss of business, or business interruption.
- Damages arising from the use or inability to use the website or services.
- Acts or omissions of third parties, including hosting providers, domain registrars, payment platforms, or social media services.
Orizon's total cumulative liability to the Client, for any cause and under any legal theory, shall not exceed the amount actually paid by the Client to Orizon during the three (3) months preceding the event giving rise to the claim. If no payment was made in that period, maximum liability shall be ₡50,000 (fifty thousand Costa Rican colones).
8. Force Majeure
Orizon shall not be liable for failure or delay in service delivery caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, power or internet outages, government actions, pandemics, strikes, third-party cyberattacks, or failures in external provider infrastructure.
9. Data Protection
The processing of your personal data is governed by our Privacy Policy, which complies with Costa Rican Law No. 8968 on Protection of Individuals Against the Processing of Personal Data.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Costa Rica, including the Commercial Code, Law No. 7472 on Promotion of Competition and Effective Consumer Protection, and Law No. 8454 on Electronic Certificates, Digital Signatures and Documents.
For any dispute arising from these Terms or the business relationship with Orizon, the parties expressly submit to the jurisdiction of the Courts of Justice of San José, Costa Rica, waiving any other forum that may apply.
11. Amendments
Orizon reserves the right to modify these Terms at any time. Changes will be published on this page with an updated date. For contracts already in execution, changes will not apply retroactively unless expressly agreed by both parties.
